Terms of Service.

1. Who we are

HELM is a software service operated from the UK. When this document says "we" or "HELM", we mean the operator of helmai.co.uk. When it says "you", we mean the person or business who signs up to use HELM.

2. What HELM does

HELM is an AI assistant that handles inbound customer messages on your behalf: answering questions, booking jobs, sending quotes and invoices, chasing payments. You stay in control. You can override anything HELM does at any time.

HELM is a tool, not a person. The AI generates responses based on your settings and your customers' history. We do our best to make those responses accurate and on-brand, but you remain responsible for the messages sent from your business.

3. Your trial + billing

  • The free trial is 14 days. No card needed to start.
  • After the trial, the subscription is £99 per month, billed monthly. You can cancel anytime from your dashboard.
  • If you cancel mid-month you keep access until the end of the period you paid for. No refunds for partial months.
  • Each subscription tier includes its messaging channels. Per-message network fees (pennies per WhatsApp chat, a few pence per SMS) are billed at provider cost with no markup.
  • If your card fails we'll retry a couple of times and email you. Your account pauses if it stays unpaid for 7 days.

4. Your data

  • You own your customer data. We hold it on your behalf so HELM can do its job.
  • Customer phone numbers, names, addresses, vehicle registrations, and message content are encrypted at rest using a per-tenant key.
  • We do not sell or share your customer data with anyone. We do not train shared AI models on it.
  • We process data on servers in the UK and EU (Digital Ocean, London region).
  • If you cancel, you can export everything in CSV. After 30 days of inactivity post-cancellation we delete your data, but keep an anonymised audit log for fraud + compliance reasons.

5. Your customers' consent

You are responsible for telling your customers that an AI may respond to their messages, and for collecting any consent your local laws require. We give you a template you can use. HELM never claims to be human if asked directly.

6. Acceptable use

Don't use HELM for: cold outreach to people who haven't given you their number, scam or fraud campaigns, regulated services we're not certified for (medical advice, regulated financial advice, regulated legal advice), or anything illegal. We can suspend your account if we believe you're doing any of these.

7. Uptime + reliability

We aim for very high uptime but we don't guarantee 100%. If HELM is down, your customers' messages queue and get processed when we're back. We're not liable for revenue lost during downtime. We do our best to spot and fix issues quickly.

8. AI mistakes

The AI will occasionally get something wrong: misquote a price, misunderstand a request, send something off-tone. You have a dashboard to spot and correct these. We are not liable for losses resulting from an AI mistake, but we'll work with you to learn from each one and tune the system.

During the trust-build phase (your first 14 days, or longer if you choose), HELM asks you to approve replies before sending. After that, you can hand more decisions to the AI as you build confidence.

9. Intellectual property

HELM the software (code, designs, prompts, models) belongs to us. Your customer data and your messages belong to you. AI-generated responses sent from your business count as your business's messages once sent.

10. Changes to these terms

If we make material changes to these terms we'll email you 30 days before they take effect. You can cancel anytime if you don't like the new terms.

11. Liability cap

Our total liability to you in any 12-month period is capped at the total fees you paid us in that period. We're not liable for indirect, consequential, or lost-profit damages.

12. Governing law

These terms are governed by the laws of England and Wales. Disputes go to the courts of England and Wales.

This is a v0.1 plain-English version. We'll formalise into a full legal agreement once we have more customers. Until then these are the terms that apply.
